These Terms of Service ("Terms") govern your access to and use of the website at https://cortexclips.online and related services (the "Service"), operated by Cortex Labs ("Cortex Clips," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use the Service for an organization, you represent that you have authority to bind it. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly of any unauthorized use.
Cortex Clips lets you upload or link long-form video, automatically identify potential short clips, add captions, reframe and render them, and download, schedule, or publish them to connected platforms. Outputs are generated automatically, may contain errors (including inaccurate transcripts or captions), and should be reviewed by you before you publish them. We may change, add, or remove features at any time.
Ownership. You retain all rights in the videos and other materials you submit ("Your Content") and in the clips generated from them. We do not claim ownership of Your Content.
License to us. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transcode, and modify Your Content solely to operate and provide the Service to you, including publishing to platforms at your direction.
Your responsibility. You represent and warrant that you own Your Content or have all rights, licenses, and permissions needed to upload it, create clips from it, and publish it (including rights in music, footage, and the likeness and voices of people appearing in it), and that Your Content and our processing of it will not violate any law or third-party right.
Retention. Unless saved to a project, clips are kept for 30 days after processing, as described in our Privacy Policy. You are responsible for downloading and backing up anything you want to keep.

We may remove content or suspend accounts that we reasonably believe violate these Terms.
If you connect an account such as YouTube, you authorize us to access it and publish or schedule content on your behalf as you direct. You are responsible for compliance with that platform's terms, including the YouTube Terms of Service. We are not responsible for a platform's decisions, outages, API changes, or removal of your content. You can disconnect an account in the app or revoke access at Google's permissions page. Our handling of Google user data is described in our Privacy Policy and follows the Google API Services User Data Policy, including its Limited Use requirements.
Some features require a paid plan. Prices, limits, and features are shown on our pricing page. Paid plans renew automatically each billing period until canceled. You authorize us and our payment processor to charge your payment method. You can cancel at any time and the cancellation takes effect at the end of the current billing period. Except where required by law or stated otherwise at purchase, fees are non-refundable. We may change pricing with advance notice; changes apply from your next billing period.
The Service, including its software, design, branding, and documentation, is owned by us or our licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service. All rights not expressly granted are reserved. If you give us feedback or suggestions, we may use them without obligation to you.
We respect intellectual property rights. If you believe content processed through the Service infringes your copyright, send a notice to [email protected] with identification of the work, the location of the allegedly infringing material, your contact information, a statement of good-faith belief that the use is unauthorized, and a statement under penalty of perjury that your notice is accurate and that you are authorized to act for the owner. We may terminate accounts of repeat infringers.
The Service uses automated and AI-based systems. Output may be inaccurate, incomplete, or not unique to you, and clip selections, scores, and captions are suggestions only. You are solely responsible for reviewing output and deciding whether to publish it.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL NOT BE LOST. We do not guarantee any particular results, views, or engagement from clips you create.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEX CLIPS AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$100. Some jurisdictions do not allow certain limitations, so these may not apply to you.
You agree to defend, indemnify, and hold harmless Cortex Clips and its officers, employees, and affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately if you violate these Terms, if required by law, or if your use poses risk to the Service or others. Upon termination, your right to use the Service ends and we may delete Your Content in accordance with our Privacy Policy. Sections that by their nature should survive (including 3, 7, 10 to 12, and 14) will survive termination.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Texas, and you consent to that jurisdiction and venue, except where applicable law gives you the right to bring claims elsewhere.
We may update these Terms from time to time. We will post the new version here and update the "Last updated" date. If changes are material, we will give notice by email or in the Service. Continued use after the effective date means you accept the updated Terms.
These Terms and the Privacy Policy are our entire agreement with you on this subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
